Terms of Service

These Terms of Service govern your use of the SmartScribe.Docx SDK ("the Software"), developed and distributed by Gain Publications ("we," "us," "our"). By downloading, installing, or using the Software, you agree to these terms.

1. License Grant

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, perpetual license to use the Software as specified by your license tier (Development, Indie, Single Application, Studio, OEM/Unlimited, or Source License).

2. Development License (Tier 0)

The Software may be downloaded and used at no cost for development and testing purposes. Production deployment — use in a product or service made available to third parties — requires a commercial or Indie license. The Development license is indicated by a notice printed to stderr on initialization.

3. Indie License (Tier 1)

The Indie License is available at no cost to individuals and organizations whose projects gross less than $100,000 USD per year in total revenue. By registering for an Indie License, you enter a binding legal agreement and represent that your project meets this revenue threshold.

• You must include "Built with SmartScribe.Docx" in your application's About box, README, or documentation.
• You must upgrade to a paid commercial license before or immediately upon your project's annual gross revenue reaching $100,000 USD.
• Continued use above the $100,000 threshold without upgrading constitutes breach of contract.
• The Indie License must be renewed annually (free) by re-registering.

4. Commercial Licenses (Tiers 2–5)

Commercial licenses are perpetual. The version of the Software licensed to you will function indefinitely. Maintenance (updates to new versions) is included for one year from purchase and may be renewed at 20% of the original license price. Expired maintenance does not affect the functioning of your licensed version.

5. Restrictions

• You may not sublicense, resell, or redistribute the Software itself, regardless of tier.
• Source License (Tier 5) holders may modify the Software for internal use within their licensed organization but may not redistribute the source code or modified versions.
• You may not represent the Software as your own creation or remove copyright notices.

6. No Warranty

The Software is provided "as is" without warranty of any kind. We make no warranty that the Software will meet your requirements or operate without interruption or error.

7. Limitation of Liability

In no event shall Gain Publications be liable for any indirect, incidental, special, or consequential damages arising from your use of the Software, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid for the Software.

8. Governing Law

These Terms shall be governed by the laws of the State of Illinois, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Illinois.

9. Changes to Terms

We may update these Terms from time to time. Continued use of the Software after changes constitutes acceptance of the revised Terms. Paid perpetual licenses are governed by the Terms in effect at the time of purchase.
